BANGIN+ Membership Terms and Agreement

This BANGIN+ Membership Agreement ("Agreement") is made effective as of the date of subscription by and between A100DRUMZ Productions ("Licensor") and the subscribing member ("Licensee"). By subscribing to BANGIN+, Licensee agrees to the terms set forth in this Agreement.

1. Grant of License
The Licensor hereby grants to Licensee a non-exclusive, commercial rights use license for any beats received through the BANGIN+ membership. This license allows Licensee to use the beats in accordance with the terms below while acknowledging that A100DRUMZ Productions retains full ownership of the beats.

2. Master Use
The Licensee is permitted to record vocal synchronization to the beats, either partially or in full, and use the resulting Master Recording for commercial purposes, subject to the terms herein.

3. Mechanical Rights
Licensee is granted the right to use the Master Recording for the reproduction, duplication, manufacture, and distribution of digital downloads, streaming, and physical copies, subject to the following conditions:
Licensee may distribute up to UNLIMITED digital streams and downloads.
Licensee may sell up to UNLIMITED copies (physical or digital).
The license allows up to UNLIMITED monetized audio streams on platforms such as Spotify, Apple Music, and Tidal.
YouTube monetization is not included under this license; a separate agreement is required for monetized YouTube videos.

4. Performance Rights
Licensee is granted the right to use the beats in live performances, shows, and concerts, including those where the Licensee receives compensation.

5. Synchronization Rights
Licensee is permitted to use the beats in up to one (1) monetized music video streamed online (YouTube, Vimeo, etc.), with up to UNLIMITED non-monetized video streams in total. A separate synchronization license must be purchased for video distribution on television, film, or video games.

6. Broadcast Rights
Licensee is granted the right to broadcast the beats in up to UNLIMITED radio stations.

7. Credit Requirement
Licensee must provide proper credit to Licensor in all media, including but not limited to streaming platforms, physical releases, and video descriptions. Credit must be given as:
“Produced by A100DRUMZ Productions”

8. Ownership and Restrictions
Licensee does not own the beat; Licensor maintains full ownership.
This license is non-exclusive, non-transferable, and non-refundable.
Licensee may not resell, lease, or sublicense the beat.
Third-party sample clearance (if applicable) is the responsibility of the Licensee.

9. Indemnification
Licensee agrees to indemnify and hold Licensor harmless from any claims, damages, losses, or legal fees arising from the misuse of the beats, unauthorized usage, or failure to comply with the terms of this Agreement.

10. Governing Law
This Agreement shall be governed and construed in accordance with the laws of ALABAMA, without regard to conflicts of law principles.

11. Term and Renewal
This Agreement remains in effect as long as the membership is active. The one-year term for annual renewal begins 30 days from the last payment made by the Licensee at the point of membership cancellation. To maintain rights to the beats received during the membership period and continue receiving new beats, the Licensee must renew the membership monthly or annually. If the membership is not renewed, the Licensee retains rights to previously received beats but may not receive new beats under the license terms.

For any beats used in commercial monetization use cases, the Licensee must renew the Commercial License to continue monetizing them beyond the initial one-year period. Any beats that have not been monetized do not require renewal unless they become monetized in the future. If the Licensee renews after canceling their membership, the new agreement does not reinstate previous licenses and only applies to beats received under the new membership period.

By subscribing to BANGIN+, Licensee acknowledges that they have read, understood, and agreed to these terms.
